01 Acceptance of these terms
By accessing the Site or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of a company, you represent that you have authority to bind it. If you do not agree, do not use the Services.
02 The Services
Ceaser provides software that helps online stores recover abandoned carts, create and serve coupons, run on-site and messaging campaigns, and measure conversion performance. We may add, change, or remove features over time. Specific plan entitlements and limits are described at sign-up or in an order form.
03 Accounts
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. Notify us promptly of any unauthorized use.
04 Plans, fees & payment
- Fees, billing frequency, and any usage-based charges are presented at sign-up or in your order form.
- Subscriptions renew automatically unless cancelled before the renewal date, and fees are non-refundable except where required by law.
- Late or failed payments may result in suspension of the Services.
- Fees are exclusive of taxes, which are your responsibility.
05 Acceptable use
You agree not to: use the Services unlawfully or to send unsolicited or non-compliant messages; infringe others' rights; attempt to disrupt, reverse engineer, or gain unauthorized access to the Services; or use them to store or transmit malicious code. You are responsible for obtaining all consents required to message your shoppers.
06 Merchant responsibilities
- Maintain accurate store, product, and pricing data, and honor coupons and offers you issue through the Services.
- Provide required privacy notices and obtain consents for marketing communications and tracking.
- Comply with the policies of the platforms and messaging channels you connect.
07 Data & privacy
Our handling of personal data is described in our Privacy Policy. Where we process shopper data on your behalf, we act as a processor and you as the controller, and our data processing terms apply. You retain ownership of your store and customer data.
08 Intellectual property
The Services, including all software, designs, and the Ceaser and Coupongini brands, are owned by Ceaser and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You retain ownership of your own content and data, and grant us the rights needed to provide the Services.
09 Third-party platforms
The Services integrate with third-party platforms such as Shopify, WooCommerce, and messaging providers. We are not responsible for their availability, performance, policy changes, or actions, and your use of them is subject to their own terms.
10 Disclaimers
The Services are provided "as is" and "as available." While we are built to grow your revenue, we do not guarantee specific results, recovery rates, conversions, or revenue, as outcomes depend on many factors outside our control. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11 Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total aggregate liability arising out of or related to the Services will not exceed the amounts you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.
12 Indemnification
You agree to indemnify and hold harmless Ceaser and its officers, employees, and contractors from claims, damages, and expenses arising out of your content, your products, your messaging to shoppers, or your breach of these Terms or applicable law.
13 Term & termination
These Terms apply while you use the Services. Either party may terminate as described in your plan or order form. We may suspend or terminate access for breach or risk to the Services. On termination, your right to use the Services ends; you may export your data for a limited period, after which it may be deleted. Sections that should survive termination will survive.
14 Governing law & disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The parties will attempt to resolve disputes in good faith before pursuing formal proceedings, which will be brought in the courts located in that jurisdiction, unless otherwise required by law.
15 Changes to these terms
We may update these Terms from time to time. The revised version will be posted here with an updated "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance.
